Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the website located at apexleadz.com and any services provided by ApexLeadz LLC ("ApexLeadz," "we," "us," or "our"), a limited liability company registered in the State of Florida.

By accessing this website, submitting an inquiry, or entering into a service agreement with ApexLeadz, you ("Client" or "you") agree to be bound by these Terms in full. If you do not agree to these Terms, please do not use this website or our services.

2. Description of Services

ApexLeadz provides AI-powered lead generation, lead qualification, and automated follow-up services specifically designed for roofing contractors and related home improvement businesses. Our services may include, but are not limited to:

  • Automated lead capture via landing pages, web forms, and chat widgets
  • AI-powered lead qualification and scoring
  • Instant lead notification via SMS, email, or CRM dashboard
  • Automated follow-up sequences (SMS, email, voicemail drops)
  • CRM/lead dashboard access and pipeline management
  • Ongoing optimization and support as outlined in your selected plan

Specific deliverables, pricing, and service scope are detailed in the proposal or service agreement provided to each Client at the time of onboarding.

3. Roofing Industry — Lead Delivery Terms

ApexLeadz generates and delivers leads specifically for roofing companies. By using our services, you acknowledge and agree to the following:

Lead Exclusivity

Unless otherwise specified in your service agreement, leads generated through ApexLeadz campaigns are exclusive to your business during the active campaign period. ApexLeadz does not resell or redistribute leads already delivered to a Client.

Lead Quality

We strive to deliver qualified, in-market homeowners actively seeking roofing services. However, ApexLeadz does not guarantee that every lead will result in a signed contract. Lead quality is subject to market conditions, geographic targeting, and consumer behavior outside our control.

Lead Disputes

Lead disputes (e.g., duplicate leads, disconnected numbers, or clearly invalid contacts) must be submitted in writing to info@apexleadz.com within 5 business days of lead delivery. We review all disputes on a case-by-case basis and may issue replacement leads or credits at our sole discretion.

Client Responsibilities

Clients are responsible for contacting leads in a timely manner (ideally within 5 minutes of delivery), maintaining professional standards during follow-up, and complying with all applicable laws when communicating with prospects, including the Telephone Consumer Protection Act (TCPA) and applicable state regulations.

4. Payment Terms

Services are billed monthly in advance on the date of enrollment unless otherwise agreed in writing. All fees are non-refundable except as expressly stated herein.

Accepted payment methods include major credit/debit cards and ACH bank transfer as made available through our billing platform. A failed or declined payment may result in a temporary suspension of services. ApexLeadz reserves the right to add a late fee of up to 1.5% per month on outstanding balances not paid within 10 days of the due date.

Pricing plans are subject to change with 30 days' written notice. Continued use of services after a price change constitutes acceptance of the new pricing.

5. Cancellation & Refund Policy

You may cancel your service subscription at any time by providing written notice to info@apexleadz.com at least 7 calendar days before your next billing date. Cancellations received after that window will take effect at the end of the following billing cycle.

Setup fees and onboarding fees are non-refundable under any circumstance. Monthly subscription fees are non-refundable once the billing period has begun. No refunds are issued for partial months of service.

ApexLeadz reserves the right to terminate service immediately and without refund if a Client is found to be in violation of these Terms, including misuse of the platform, fraudulent activity, or abusive conduct toward our team.

6. Client Obligations & Acceptable Use

You agree to use ApexLeadz services only for lawful business purposes related to your roofing or home improvement company. You agree not to:

  • Resell, sublicense, or transfer leads delivered to you to any third party
  • Use automated tools to scrape, harvest, or duplicate data from our platform
  • Misrepresent your business, services, or geographic service area to generate leads
  • Submit false, fraudulent, or misleading information through this website or our systems
  • Attempt to gain unauthorized access to our systems, databases, or other Clients' accounts
  • Use our services to contact leads in a manner that violates the TCPA or other applicable law

7. Confidentiality

Both parties agree to keep confidential any proprietary information, business processes, pricing, lead data, or trade secrets shared in connection with the service engagement. This obligation survives termination of the service relationship for a period of two (2) years.

ApexLeadz will not disclose your business data or lead information to competitors or unaffiliated third parties, except as required by law or as necessary to deliver the services (e.g., CRM integrations you authorize).

8. Intellectual Property

All content on this website — including branding, logos, copy, design, graphics, and technology — is owned by or licensed to ApexLeadz and protected under applicable intellectual property laws. You may not copy, reproduce, redistribute, or create derivative works from any ApexLeadz content without prior written permission.

ApexLeadz does not claim ownership of any content you submit through our forms, chat widget, or onboarding process. By submitting content, you grant ApexLeadz a limited, non-exclusive license to use that content solely to provide the requested services.

9. Disclaimer of Warranties

This website and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. ApexLeadz expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ApexLeadz does not warrant that: (a) the website will always be available or error-free; (b) a specific number of leads will be generated within any given period; or (c) leads delivered will result in a specific close rate or revenue outcome.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ApexLeadz shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services, including but not limited to lost profits, lost revenue, or loss of business opportunity — even if ApexLeadz has been advised of the possibility of such damages.

ApexLeadz's total cumulative liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you paid to ApexLeadz in the 30 days immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ApexLeadz, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the website or services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party related to your lead follow-up activities.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in Brevard County, Florida.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against ApexLeadz.

13. Modifications to These Terms

ApexLeadz reserves the right to update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our website or services after any update constitutes your acceptance of the revised Terms.

For active service Clients, material changes to pricing or service scope will be communicated with at least 30 days' notice via email.
